This affiliate service is offered to you by HiT Media ApS (Affiliate HiT Media ApS) - Kidholm 12, 9310 Vodskov, Danmark. VAT No.: 28860609 . The following terms and conditions constitute the entire agreement between the service provider (HiT Media ApS) and the Affiliate. The Affiliate delivers marketing of campaigns from the service provider, and campaigns are accessed through the website from the service provider.

Paid Per Lead
The Affiliate can choose to get paid a fixed price per lead. The payment of the lead is triggered by HiT Media ApS based on whether lead was unique or not. HiT Media ApS also bases payment of lead on quality checks.
If a lead has been registered in the system, the lead will not be deleted afterwards. The lead will not be paid out if the Affiliate breaks any of the terms listed herein.
Revenue Split
The Affiliate can choose to get paid a split of the revenue generated from the referred users. The revenue split payment is instead of payment per lead. The Affiliate will not both be paid by lead and revenue split, it is either per lead or revenue split.
When a referred user clicks a campaign from a third party affiliate network, the click will be registered at the third party network with the ID of the Affiliate (called Partner ID, in short PID). The statistics in HiT Media ApS is based on call backs from the third party affiliate networks. All payouts are based statistics directly from the third party network. The final payout might therefor be less, if the third party network deletes any leads before payout.
The revenue split is 50 %. So if a referred user generates a lead for a third party affiliate campaign, and the third party affiliate pays lead, then the Affiliate is paid 50 % of the payment from the third party affiliate network.
Revenue split will be lowered to 40 % with one month notice, if the Affiliate generates less than 2.500 DKK in monthly revenue split for payments and less than 200 new signups per month. Revenue split will be lowered to 30 % with one month notice, if the Affiliate generates less than 1.000 DKK in monthly revenue split for payments and less than 100 new signups per month.
With above levels for revenue split the Affiliate is guaranteed 50 % revenue split, as long as the monthly revenue split is at least 2.500 DKK. When less than 2.500 DKK month revenue split, the Affiliate can keep 50 % revenue split by referring at least 200 new signups per month.
Marketing According to National Marketing Law and Rules
The Affiliate must obey to national and internation marketing laws and rules for all marketing. The Affiliate guarantees with the acceptance of this agreement to uphold the law at all times and to follow the national legislation in the respective countries whenever the Affiliate run campaigns with Affiliate HiT Media ApS. The Affiliate also guarantees not to violate any 3rd party rights, trademarks, copyrights or any other rights that are not the property of the Affiliate.
The Affiliate is obliged to whenever requested to provide opt-in data, including timestamps and IP-address on any user subscribed to the Affiliate's e-mail newsletter lists. The Affiliate guarantees to uphold the law regarding unsolicited e-mails and that no e-mails sent can be categorized as SPAM. If the Affiliate gets accused of SPAM and cannot deliver the requested opt-in data, it will be considered a breach of contract.
Payment Policy
Each month HiT Media ApS generates a payout overview that the Affiliate can use for making an invoice and billing HiT Media ApS. HiT Media ApS pays the Affiliate within 2 weeks after having reveiced the invoice. Each invoice must be minimum for 5.000 DKK, and HiT Media ApS only accepts invoices with Danish VAT or no VAT. If summed payouts are less than 5.000 DKK, the Affiliate must with invoice untill payouts sum at least 5.000 DKK.
Payouts will each month contain the leads generated previous month along with partner revenue generated more than one month ago. As example, will payouts made in December contain all leads generated in November, and and revenue split generated in november.
Affiliate HiT Media ApS reserves the absolute right not to issue payment to any affiliates that violate any of the terms and conditions listed in these terms.
Payouts older than 12 months will be deleted and cannot be invoiced.
Liabillity
HiT Media ApS will not be liable for indirect or accidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, or any results of intents of harm to the Program and/or to our website(s).
We do not make any expressed or implied warranties with respect to the Program and/or the memberships or products sold by HiT Media ApS. We make no claim that the operation of the Program and/or our website(s) will be error-free and we will not be liable for any interruptions or errors.
In addition to the foregoing, HiT Media ApS reserves the right to terminate any Affiliate account at any time, for ny violations of this Agreement or no reason.
Indemnification
Affiliate shall indemnify and hold harmless HiT Media ApS and its affiliate and subsidiary companies, officers, directors, employees, licensees, successors and assigns, including those licensed or authorized by HiT Media ApS to transmit and distribute materials, from any and all liabilities, damages, fines, judgments, claims, costs, losses, and expenses (including reasonable legal fees and costs) arising out of or related to any and all claims sustained in connection with this Agreement due to the negligence, misrepresentation, failure to disclose, or intentional misconduct of Affiliate.
Termination
HiT Media ApS reserves the right to terminate the affiliate's account for any of the following reasons:
- Inappropriate advertisements (false claims, misleading hyperlinks, etc.).
- Spamming (mass email, mass newsgroup posting, etc.).
- Advertising on sites containing or promoting illegal activities.
- Violation of intellectual property rights.
- Self referrals, fraudulent transactions, suspected Affiliate fraud.
- Breach of terms listed in these terms.
Terminated accounts will not be issued payments, and any invoices not paid to affiliate will not be paid.
Disputes and legal claims
This agreement is regulated by Danish law. Any dispute or claim that may arise on the content or the terms and conditions stated in this agreement, shall be settled under the authority of Danish Law, with no access to bring the claim to any court in other states. This agreement should be seen as a partnership and any dispute should first and foremost try to be settled in an orderly and friendly manner. If that is not possible, any such dispute or claim in connection with these terms and conditions shall be settled by the court in Aalborg, Denmark.
